Haulan provides transportation-management software for freight brokerages: load management, customer and carrier records, carrier onboarding packets, document collection and electronic signature, rate confirmations, bills of lading, invoices, and reporting ("the Service").
Haulan is a software tool. Haulan is not a freight broker, freight forwarder, motor carrier, shipper, or a party to any load, shipment, brokerage arrangement, or carrier agreement you enter into. You alone are responsible for your freight operations, the carriers and customers you choose, and every decision you make using the Service. Haulan does not arrange transportation, take custody of freight, or guarantee any carrier, shipment, or payment.
You are responsible for the accuracy of the information in your account, for keeping your login credentials confidential, and for all activity under your company's accounts. You must tell us promptly about any unauthorized use.
The Service is billed as a monthly subscription per the plan you select, in advance, and it auto-renews each period until canceled. Usage over your plan's included allowance is billed at the stated per-unit rate. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before your next billing cycle.
Carrier onboarding packets and these terms are executed electronically. By typing or drawing a signature, or by clicking "I agree," the signer consents to conduct business electronically and agrees the electronic acceptance has the same force as a handwritten signature, consistent with the U.S. E-SIGN Act.
Your data belongs to you; we use it only to operate the Service, and we are not obligated to retain or produce it after your account closes.
Carrier safety, authority, insurance, and census information is retrieved from third-party sources including the FMCSA and U.S. DOT. It is provided "as is," may be incomplete, delayed, or inaccurate, is not verified by Haulan, and is for convenience only. You are solely responsible for independently verifying any carrier's authority, insurance, safety, and legitimacy before tendering a load. Haulan is not responsible for carrier fraud, double-brokering, identity theft, cargo loss or damage, non-payment, or any loss arising from your reliance on this information.
You may not use the Service to break the law, infringe others' rights, send spam, upload malicious code, attempt to access other companies' data, or resell the Service without our written agreement.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, UPTIME, OR RESULTS. We do not warrant that the Service will be uninterrupted, error-free, or secure.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, LOST LOADS, CARGO LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. HAULAN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID HAULAN IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply regardless of the legal theory and even if a remedy fails its essential purpose.
You will defend, indemnify, and hold harmless Haulan and its owners, officers, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your freight or brokerage operations, the carriers or customers you deal with, the documents you create or send, or your violation of law or these terms.
You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate accounts that violate these terms or create risk for the Service or other customers.
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
We may update these terms; material changes will be announced in the app or by email, and you may be asked to accept the updated terms. Continued use after an update is acceptance.
